Poly Terms of Use

1. Introduction & Acceptance

These Terms of Use ("Terms") govern your use of the Poly platform (the "Platform") operated by Realtime Technologies Ltd ("we," "us," or "our"), a company registered in the United Kingdom. By accessing or using the Platform, you ("you" or "user") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform. If you are accessing the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Any changes will be effective when posted on the Platform, and your continued use of the Platform after such posting signifies your acceptance of the updated Terms. We will make reasonable efforts to notify you of significant changes through a notice on our Platform.

3. Use of the Platform

• The Platform is designed to help users explore work opportunities, projects, collaborations, and other activities. By using it, you confirm that you are at least 18 years old or have reached the age of majority in your jurisdiction.
• You agree to use the Platform only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
• You understand that any AI-driven matching, suggestions, or insights provided on the Platform are for informational purposes only and do not constitute professional, financial, or legal advice.
• You understand that Poly's effectiveness comes from authentic sharing. While we encourage openness, avoid sharing sensitive personal or financial information that isn't directly relevant to your journey.
• You agree not to use the Platform to transmit, distribute, or store material that is: (i) unlawful, offensive, defamatory, fraudulent, deceptive, misleading, harmful, threatening, or abusive; (ii) infringes on any intellectual property rights; (iii) contains software viruses or any other harmful code; or (iv) interferes with or disrupts the integrity or performance of the Platform.

4. User Responsibilities

You are solely responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account, including any content you submit or share through the Platform.
• Ensuring the information you provide to us is accurate, complete, and up to date.
• Verifying the authenticity, legitimacy, or suitability of any Opportunity, individual, or organization you interact with through the Platform.
• Complying with all applicable laws and regulations when using the Platform, including employment, data protection, and anti-discrimination laws.
• Promptly notifying us of any unauthorized use of your account or any other breach of security.

5. Intellectual Property

• All text, graphics, logos, buttons, icons, images, and software (collectively, the "Content") on the Platform are the property of Realtime Technologies Ltd or its licensors and are protected by UK and international intellectual property laws.
• You agree not to copy, modify, distribute, create derivative works from, publicly display, or otherwise exploit any of the Content without our prior written consent.
• By submitting content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing and promoting the Platform. This license terminates when you delete your account, except to the extent necessary for us to comply with legal obligations or to maintain appropriate business records.

6. Opportunities and Services

• Poly reserves the absolute right and discretion to review, moderate, reject, or remove any Opportunity or Service posting that violates these Terms, appears fraudulent, misleading, or is otherwise deemed inappropriate by Poly in its sole judgment.
• We do not guarantee that any Opportunity or Service posted on the Platform will result in employment, collaboration, or any specific outcome.
• Users posting Opportunities or Services must have the legal authority to do so and must comply with all applicable laws, including employment, anti-discrimination, and data protection laws.
• Poly is not responsible for the accuracy, completeness, legality, or reliability of any Opportunity or Service posted on the Platform.
• Any transaction, agreement, or arrangement between users is solely between those users. Poly is not a party to any such transaction and disclaims all liability in connection with such transactions.

7. Organizational Verification

• Users representing organizations may be subject to a verification process to confirm their identity and affiliation with the organization they claim to represent.
• This verification process may include, but is not limited to, providing official documentation, confirming through official communication channels, or other reasonable means as determined by Poly.
• Poly reserves the right to reject or revoke organizational status for any user if we have reason to believe the user has misrepresented their affiliation or authority, or if the organization violates these Terms or applicable laws.
• Verified organizational users agree to maintain the accuracy of their organizational information and to promptly notify us of any changes in their authority to represent the organization.

8. Disclaimers

• The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
• Our AI-driven matches consider multiple factors including skills, experience, and energy alignment. However, the final assessment of compatibility always rests with the humans involved.
• To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Poly does not guarantee the accuracy, completeness, or usefulness of any information on the Platform or the results that may be obtained from the use of the Platform.
• We do not endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Platform.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Realtime Technologies Ltd and its affiliates, directors, employees, and agents shall not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (i) your use of or inability to use the Platform; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Platform; or (iv) any content obtained from the Platform, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising from or relating to the Platform exceed the greater of: (i) the amount paid by you to us during the six (6) month period prior to the act giving rise to liability; or (ii) £100.

These limitations of liability do not apply to liability that cannot be excluded or limited by applicable law, such as liability for fraud or death or personal injury caused by negligence.

10. Indemnification

You agree to indemnify, defend, and hold harmless Realtime Technologies Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (i) your access to or use of the Platform; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right or privacy right; or (iv) any claim that your content caused damage to a third party.

11. Platform Evolution

Poly is designed to evolve with emerging work paradigms. We regularly update our matching algorithms and platform features to better serve changing needs while maintaining our core principles. We may add, modify, or remove features at any time without prior notice. Your continued use of the Platform after such changes constitutes your acceptance of the modified features.

12. Termination

• We may suspend or terminate your access to the Platform at any time, without notice or liability, for any reason, including if you breach these Terms.
• You may terminate your account at any time by following the instructions on the Platform or by contacting us at support@poly.site.
• Upon termination, your right to use the Platform will immediately cease, and we may delete or deactivate your account and all associated information and files.
• All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
• Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
• Nothing in these Terms affects your statutory rights as a consumer or excludes or limits liability for matters that cannot be excluded or limited under applicable law.
• We encourage you to contact us first to try to resolve any disputes amicably before resorting to formal legal proceedings.

14. Severability & Waiver

• If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
• Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Realtime Technologies Ltd.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Realtime Technologies Ltd regarding your use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.
